Contract Law
Contract law encompasses matters relating to the drafting, negotiation, performance and termination of contracts that establish the mutual rights and obligations of the parties. Structuring a contract specifically according to the nature of the parties’ relationship, the allocation of risk, the arrangement of performance and the duration of the relationship directly determines the scope of any disputes that may arise in the future and the means of resolving them.
The drafting and review of sale and supply, service, works, licence, franchise, confidentiality, joint venture, financial leasing and consultancy agreements, and the determination of provisions on price and payment, delivery and acceptance, penalties, security, limitation of liability, force majeure, termination and dispute resolution are the main subjects of this field. The amendment of existing contracts, the preparation of supplementary protocols and the review of standard terms and conditions are also included.
Notices and termination procedures in cases of non-performance or incomplete or delayed performance, claims for compensation and contractual penalties, the adaptation of contracts on grounds of excessive difficulty of performance, and actions and arbitral proceedings arising from contracts are also among the subjects of contract law.
