Company Law
Company law covers the relationships between a commercial company and its shareholders and organs from its incorporation to its dissolution. The incorporation of joint stock and limited liability companies, the drafting and amendment of articles of association, capital increases and reductions, share transfers and shareholders’ agreements, as well as actions for the annulment of general assembly resolutions and for declaration of their nullity, the liability of board members and managers, the withdrawal and exclusion of shareholders, dissolution for just cause, the right to information, dividend disputes, and liquidation and revival actions are the main subjects of this field.
Structural changes such as mergers and acquisitions, partial and full demergers, conversions and transfers of commercial enterprises also fall within this field. As regards cooperatives, membership, contribution and additional payment obligations in housing cooperatives, the allocation of independent units, actions against exclusion decisions, the annulment of general assembly resolutions, and actions for the transfer and registration of title from the cooperative are also included.
